1. Agreement to Terms

These Terms of Service (the "Terms") are a binding agreement between RapidScreen, Inc. ("RapidScreen," "we," "our," or "us") and you or the entity you represent ("Customer," "you," or "your"). By accessing or using our website, product, or services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least the age of majority in your jurisdiction and have the authority to bind your organization (if applicable).

3. Accounts & Security

  • You are responsible for the confidentiality of your credentials and all activity under your account.
  • You must promptly notify us of suspected unauthorized use: [YOUR_CONTACT_EMAIL].

4. Permitted Use

You may use the Services to create, manage, and review AI-assisted interviews and candidate screenings. You will comply with all applicable laws (including employment, data protection, and anti-discrimination laws) when using the Services.

5. Customer Content

You retain ownership of text, audio, files, and other materials you upload or create through the Services ("Customer Content"). You grant RapidScreen a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Services.

Voice recordings. Customer and candidate voice recordings are stored in Supabase object storage ("buckets") in our cloud environment. Buckets are access-controlled and recordings are encrypted at rest by Supabase. See our Privacy Policy for details on security and retention.

6. Prohibited Conduct

  • Reverse engineering, scraping, interfering with or disrupting the Services.
  • Uploading unlawful, infringing, harmful, or discriminatory content.
  • Attempting to access data you are not authorized to access.

7. Intellectual Property

RapidScreen and its licensors own all rights in the Services, including software, models, and UI. No rights are granted except as set out in these Terms.

8. Confidentiality

Each party may access the other party's confidential information and will protect it using reasonable safeguards and use it only for purposes of the relationship.

9. Data Protection

We process personal data as described in our Privacy Policy. Where required, we will enter into appropriate data processing terms with customers.

10. Fees & Taxes

If your plan includes usage-based fees (e.g., $1 per completed screening), you authorize us to charge the payment method on file. Prices exclude taxes unless stated.

11. Beta Features

We may offer pre-release features ("Beta"). Beta is provided "as is," may be modified or removed, and may be subject to additional terms.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Services will be uninterrupted or error-free or that outputs will meet your requirements.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO RAPIDSCREEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Suspension & Termination

  • We may suspend or terminate access for breach, security risk, or non-payment.
  • You may terminate by closing your account. Certain provisions survive termination, including ownership, confidentiality, disclaimers, and limitations of liability.

15. Changes to the Services or Terms

We may modify the Services and these Terms. For material changes, we will provide reasonable notice (e.g., via email or in-product). Continued use after the effective date constitutes acceptance.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of [GOVERNING_JURISDICTION], without regard to conflicts of laws. Disputes will be resolved in the courts located in [VENUE_CITY/STATE]. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
